Partner Terms

These Vendor Terms & Conditions (“Terms”) govern participation by businesses (“Vendors”) in the Indulgepass lifestyle and discount platform (“Platform”) operated by Indulgepass Limited. (“Indulgepass”). By registering as a Vendor or submitting promotional offers to the Platform, you agree to these Terms.

1. Participation

1.1 Vendors may list discounts, promotions, and offers (“Offers”) on the Platform for users of Indulgepass (“Users”).

1.2 Indulgepass reserves the right to approve, modify, or reject any Vendor or Offer at its sole discretion.

1.3 Vendor participation is non-exclusive; Vendors may promote their business on other platforms.

2. Vendor Responsibilities

Vendors agree to:

  • Honour Offers: Ensure all listed discounts or promotions are genuine, valid for a minimum of 3 months and honoured in full when presented by Users.
  • Provide Accurate Information: Supply current business and promotional details and update them promptly if changes occur.
  • Customer Service: Deliver goods and services in a professional manner and treat Users fairly.
  • Compliance: Ensure all Offers and business practices comply with applicable laws, industry regulations, and health/safety standards.
  • Restrictions: Avoid misleading advertising, hidden terms, or unreasonable conditions that would frustrate Users.

3. Indulgepass Responsibilities

Indulgepass will:

  • Display Vendor Offers on the Platform in the form provided, subject to formatting and editorial adjustments.
  • Promote the Platform and participating Vendors at its discretion.
  • Provide technical support relating to the use of the Platform.

4. Fees

4.1 Indulgepass may charge Vendors subscription fees, listing fees, or commissions as agreed separately in writing or via Vendor onboarding.

4.2 Indulgepass reserves the right to change its fee structure with reasonable prior notice.

5. Intellectual Property

5.1 Vendors grants Indulgepass a non-exclusive, royalty-free license to use its business name, logos, trademarks, and promotional materials for the purpose of displaying Offers and promoting the Platform.

5.2 Each Party retains ownership of its respective intellectual property.

6. Termination

6.1 Vendors may request removal from the Platform at any time by providing written notice.

6.2 Indulgepass may suspend or remove a Vendor or Offer immediately if:

  • The Vendor breaches these Terms,
  • The Vendor engages in fraudulent, misleading, or unlawful activity, or
  • Indulgepass determines removal is necessary to protect Users or its reputation.

7. Liability & Indemnity

7.1 Vendors are solely responsible for their products, services, and Offers.

7.2 Indulgepass is not a seller, manufacturer, or provider of Vendor goods or services, and assumes no liability for their quality, safety, or delivery.

7.3 Vendors agree to indemnify and hold Indulgepass harmless from any claims, damages, or expenses arising out of their Offers, business practices, or breach of these Terms.

7.4 Indulgepass’s liability under these Terms shall be limited to the total fees paid by the Vendor in the preceding twelve (12) months.

8. General

  • Independent Parties: Indulgepass and Vendors are independent contractors, not partners or agents.
  • Amendments: Indulgepass may update these Terms from time to time; continued participation constitutes acceptance of revised Terms.
  • Governing Law: These Terms are governed by the laws of [jurisdiction].
  • Entire Agreement: These Terms constitute the complete agreement between Indulgepass and the Vendor regarding participation in the Platform.

By registering as a Vendor or submitting an Offer, you confirm that you have read, understood, and agree to be bound by these Terms.
